1. Agreement to Terms

By accessing or using PropertyLedger ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

PropertyLedger is a property management platform that provides tools for:

• Property and unit management
• Tenant management and communication
• Rent collection and financial tracking
• NSPIRE compliance tracking and inspection management
• Maintenance and work order management
• Document storage and organization
• Investment analysis tools

3. Account Registration

To use our Service, you must:

• Be at least 18 years old
• Provide accurate, complete, and current registration information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Subscription and Payments

4.1 Billing

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees incurred.

4.2 Price Changes

We may modify pricing with 30 days' notice. Price changes take effect at the start of your next billing cycle.

4.3 Refunds

We offer a 14-day money-back guarantee for new subscriptions. After this period, fees are non-refundable. You may cancel at any time, and service will continue until the end of your current billing period.

5. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Scrape, crawl, or use automated tools without permission
• Impersonate others or provide false information
• Use the Service to discriminate against tenants illegally
• Share account credentials with unauthorized users

6. Your Content

6.1 Ownership

You retain ownership of all content you upload to the Service (documents, photos, data, etc.). By uploading content, you grant us a license to store, display, and process that content to provide the Service.

6.2 Responsibility

You are responsible for ensuring you have the right to upload content and that your content does not violate any laws or third-party rights.

7. NSPIRE Compliance Tools

Our NSPIRE compliance features are designed to help you prepare for HUD inspections. However:

• We do not guarantee passing any inspection
• Our tools are informational and do not constitute legal advice
• You remain solely responsible for actual compliance
• HUD standards may change; we strive to stay current but cannot guarantee immediate updates

8. Payment Processing

Rent collection and payment features are provided through third-party processors (Circle, Stripe). By using these features:

• You agree to their respective terms of service
• You are responsible for compliance with applicable financial regulations
• We are not responsible for payment processing delays or failures by third parties
• Transaction fees may apply as disclosed in the platform

9. Intellectual Property

The Service, including its design, features, and code, is owned by PropertyLedger and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without written permission.

10. Third-Party Services

We integrate with third-party services (payment processors, analytics, etc.). These services have their own terms and privacy policies. We are not responsible for their actions or availability.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPERTYLEDGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless PropertyLedger, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination:

• Your right to use the Service ceases immediately
• You may export your data within 30 days (unless terminated for cause)
• We may delete your data after 90 days
• Provisions that should survive termination will remain in effect

15. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association. Small claims court actions are permitted. Class action lawsuits are waived.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days in advance. Continued use after changes constitutes acceptance.

17. General Provisions

• Governing Law: These Terms are governed by the laws of the State of Delaware
• Severability: If any provision is unenforceable, the remainder stays in effect
• Waiver: Failure to enforce a right does not waive that right
• Entire Agreement: These Terms constitute the complete agreement between us
• Assignment: You may not assign these Terms; we may assign freely
